Initial Franchising Consultation

When you become a franchisor, you will be responsible for recruiting and training franchisees, overseeing system operations, building your brand, and providing ongoing support to franchisees. We’ll first discuss with you your objectives and goals to determine whether franchising is right for your business. If franchising is not the right growth strategy for you, we will work with you to develop the growth strategy that works for your brand.

Structuring the Franchisor

To create a sustainable franchise business model, you must first choose the right structure. It’s one of the most important measures you will take in franchising a business, as it ultimately defines the entire company. We’ll advise you in best practices and update you on the latest legal developments, so your franchise system is structured properly from the start.

Franchise Disclosure Document (FDD)

Franchise Agreement and Ancillary Contracts

Our franchise attorneys routinely draft Franchise Agreements, as well as all of the other documents related to the franchise relationship, including agreements related to the underlying real estate, confidentiality and non-disclosure agreements, noncompetes, guarantees, telephone numbers, and state law based addenda as required by relevant state law.

Trademark Registration

Our trademark attorneys can file any necessary trademark applications with the United States Patent and Trademark Office. If required, we can draft an inter-company license agreement that authorizes use of the intellectual property from your current business entity to the franchise company. State Registration(s)

In addition to federal franchise laws, a number of states have their own franchise and business opportunity laws. Several states require registration of the FDD prior to offering or selling a franchise within the state.
